Representative Transactions

Mergers & Acquisitions 

  • Represented an EU-based multinational industrial goods company in the following transactions: 

    • the acquisition of a closely-held mining equipment manufacturer for approximately $100 million; and

    • acquisition debt financing from a European financial institution. 

  • Represented a U.S.-based private equity fund on the following transactions:

    • the acquisition of a majority interest in a public private partnership structured piece of public infrastructure in Canada for approximately $500 million. 

  • Represented a Canadian transportation and logistics company in the following transactions: 

    • the acquisition of a maritime shipping business for approximately $50 million; and

    • the acquisition of a tug and tow business for approximately $75 million. 

  • Represented a closely-held Canadian company in the following transactions:

    • sale of oil and gas related manufacturing business for approximately $150 million; and 

    • the tax-efficient structuring of the transaction and distribution of the sale proceeds. 

  • Represented a closely-held Canadian company in the following transactions: 

    • sale of an importation and distribution business for approximately $150 million; and 

    • the tax-efficient structuring of the distribution of the proceeds to shareholders throughout Canada and the U.S.  

  • Represented an Indian company in the acquisition of a wood pellet manufacturer in Canada for approximately $25 million.

  • Represented a multinational mining company in the following transactions:

    • the sale of leasehold rights for the construction of a liquefied natural gas export facility with a potential total value of approximately $1.5 billion; and 

    • contracts for the EPC construction of an associated piece of infrastructure with an expected construction cost in excess of $100 million. 

  • Represented a publicly-traded, multinational cleantech company in the acquisition of a U.K.-based systems engineering company for total cash and share consideration of up to US$40 million.  

Equity Financings

  • Represented a publicly-traded Canadian company in the following transactions: 

    • bought deal equity financings raising in excess of US$900 million; 

    • at-the-market equity financings raising in excess of US$325 million; 

    • a $175 million private placement from a Chinese SOE;

    • a $30 million private placement from a strategic investor; and 

    • a $20 million warrant issuance. 

  • Represented a hedge-fund backed Canadian company in an equity financing of approximately $75million.

  • Represented a Canadian company in a prospectus exempt distribution to high-net-worth investors of approximately $50 million. 

  • Represented a private Canadian company in a series of prospectus-exempt equity offerings for commercial real estate opportunities.  

Intellectual Property Licensing

  • Represented a publicly-traded, multinational cleantech company in the following transactions: 

    • the licensing of the client’s core technology to a licensee for a total transaction value of approximately $200 million; and 

    • a technology development program and licensing transaction with a total transaction value of approximately $100 million over three years.
